It refers to the system composed of all processes, regulations, laws, and institutions intended to frame the way the company is directed, managed, and controlled according to its governing objectives. This system aims to regulate the relationships between the many involved actors or stakeholders. The main actors are the shareholders who elect the Board of Directors or Supervisory Board (comprising, notably, independent directors), which mandates the management (General Manager, CEO, President, etc.).
Other stakeholders include employees, suppliers and customers, banks or other lenders, the environment, and third parties – in the broadest sense – who may interact with the company..
Our experience shows that it is often a power game between different stakeholders, and the balance of power is a determining factor for the company's sustainability. Therefore, TIDO focuses on what we call the wave of power to evaluate the entire organization and its governance, from the board of directors and executives to the operational management in place. This evaluation, based on interviews with "leading" stakeholders, with a focus on strategy, will lead to a written recommendation in the form of a report and also the possibility of implementing new governance through independent directors. Ultimately, an alignment of interests and values for the various stakeholders will be sought to achieve optimal governance.
